1. Acceptance of Terms

By accessing and using ExpertLinx’s website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use our services. These Terms of Service apply to all visitors, users, and others who access or use our services.

2. Description of Services

ExpertLinx provides technology consulting services including but not limited to:

• Microsoft Solutions (Cloud Migration, Dynamics 365, Power Platform, Security, Business Intelligence, Microsoft 365)
• Development Services (Mobile App Development, Web App Development, Website Development)
• Managed Services (Licensing, IT Support, Integration)

3. User Obligations

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the services in any way that violates any applicable federal, provincial, local, or international law or regulation
• Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the services
• Attempt to gain unauthorized access to any portion of the services or any other systems or networks connected to our services
• Use any robot, spider, or other automatic device to access the services for any purpose

4. Intellectual Property Rights

The services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by ExpertLinx, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This includes, but is not limited to, business strategies, technical data, customer information, and any other information designated as confidential.

6. Payment Terms

Payment terms for our services will be outlined in individual service agreements or statements of work. Unless otherwise agreed upon in writing, invoices are due within 30 days of receipt. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

7. Limitation of Liability

In no event shall ExpertLinx, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

8. Indemnification

You agree to defend, indemnify, and hold harmless ExpertLinx and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the services.

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the services will immediately cease.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
